1. Introduction
These Terms of Service (the "Agreement") govern the use of services ("Services") provided by Solidx IT ("Solidx," "we," "us," or "our"), an IT consulting and web development business, to its clients ("Client" or "you"). By using the Services, you agree to be bound by this Agreement.
2. Services
Solidx IT provides various IT consulting and web development Services, including but not limited to:
- Website design and development
- E-commerce solutions
- Mobile app development
- IT consulting
- System integration
- Data analysis
3. Fees and Payment
Fees for Services will be agreed upon in writing for each project. Payment terms will also be specified in writing. You agree to pay all fees in accordance with these terms.
4. Intellectual Property
All intellectual property created by Solidx IT during the provision of Services remains the sole property of Solidx IT. You receive a non-exclusive, royalty-free license to use the intellectual property solely for utilizing the Services.
5. Confidentiality
Solidx IT will keep your confidential information confidential, including trade secrets, financial information, and customer lists. We will not disclose such information without your prior written consent.
6. Warranties and Disclaimers
Solidx IT warrants that Services will be performed professionally and competently. However, we make no other warranties, express or implied, including any warranty of merchantability or fitness for a particular purpose.
7. Limitation of Liability
Solidx IT is not liable for any special, incidental, or consequential damages (including lost profits, lost data, or business interruption) arising from the Services. Our liability is limited to the amount of fees paid by you for the Services.
8. Termination
Either party may terminate this Agreement with written notice. Upon termination, you are responsible for paying all fees due up to the termination date.
9. Governing Law
This Agreement is governed by the laws of the State of [Your State].
10. Entire Agreement
This Agreement constitutes the entire understanding regarding the Services and supersedes any prior or contemporaneous communications or agreements.
